Terms of Service

1. The Service

Prokobi Cold Chain RTS is a B2B software platform for monitoring refrigerated trailers and related IoT devices, including maps, telemetry, alarm rules, notifications, logs, and reporting. Features may evolve over time. We may modify, suspend, or discontinue parts of the Service with reasonable notice when practicable.

2. Eligibility and accounts

You must be able to form a binding contract and use the Service only for lawful business purposes. You are responsible for maintaining the confidentiality of credentials and for activity under your account. Company administrators are responsible for authorizing users, assigning trailer/device access, and ensuring internal compliance.

If you use Sign in with Google or Sign in with Apple, you must comply with those providers’ terms as well. Linking an identity provider account to a Prokobi user does not transfer ownership of your Google or Apple account to us.

3. Customer responsibilities

You are responsible for:

• Accurate company, user, and device information.
• Lawful use of location and sensor data collected from vehicles/trailers you are authorized to monitor.
• Configuring alarm rules and notification channels appropriately for your operations.
• Obtaining any consents or notices required for monitoring drivers, contractors, or cargo under applicable law.
• Securing physical devices, SIMs, and installation quality that affect data accuracy.

4. Acceptable use

You agree not to:

• Misuse the Service, attempt unauthorized access, or interfere with Service integrity or other customers.
• Reverse engineer the Service except to the extent such restriction is prohibited by law.
• Use the Service to violate law, privacy rights, export controls, or third-party rights.
• Resell or provide the Service to third parties except as expressly permitted in a written agreement with us.
• Upload malicious code or attempt to bypass billing, rate limits, or security controls.

5. Devices, subscriptions, and fees

Access to the Service is typically sold on a device-based or plan-based subscription. Fees, plan limits, trials, and invoicing terms are shown in the Service or in an order form. Payments are processed by Stripe. Unless stated otherwise, fees are non-refundable once a billing period begins, except where required by law.

Failure to pay may result in suspension or limitation of Service features. You remain responsible for applicable taxes.

6. Data and privacy

Our collection and use of personal information is described in the Privacy Policy at https://rts.prokobi.com/privacy. You retain rights to your operational content (for example, trailer names and telemetry associated with your company). You grant us a limited license to host, process, and display that content solely to provide the Service.

You represent that you have the rights necessary to submit telemetry and account data to the Service.

7. Third-party services

The Service integrates with third parties such as Google (Sign-In and Maps), Apple (Sign in with Apple), Stripe, Mailgun, and Twilio. Those services are governed by their own terms and privacy policies. We are not responsible for third-party outages or policy changes outside our reasonable control.

8. Alerts and operational reliance

Alarms, notifications, maps, and status indicators assist cold-chain operations but are not a substitute for professional logistics practices, on-site checks, or emergency procedures. Delivery of SMS, email, voice, or push notifications depends on third-party networks and device connectivity and is not guaranteed to be instantaneous or uninterrupted.

9. Intellectual property

The Service, including software, branding, and documentation, is owned by Prokobi or its licensors. These Terms do not transfer ownership. You may not use our trademarks without prior written permission.

10. Confidentiality

Each party may receive non-public information from the other. The receiving party will use reasonable care to protect that information and use it only for performing under these Terms, except for information that is public, independently developed, or required to be disclosed by law.

11. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT TELEMETRY WILL BE COMPLETE OR ACCURATE AT ALL TIMES.

12. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, COVER, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY.

OUR AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE AMOUNTS PAID BY YOU TO US FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS; IN THOSE CASES OUR LIABILITY IS LIMITED TO THE FULLEST EXTENT PERMITTED.

13. Indemnification

You will defend and indemnify Prokobi against claims arising from your misuse of the Service, your content/telemetry, your violation of these Terms, or your violation of applicable law or third-party rights, except to the extent caused by our willful misconduct.

14. Suspension and termination

You may stop using the Service at any time. We may suspend or terminate access for material breach, non-payment, legal risk, or misuse. Upon termination, your right to access the Service ends. Provisions that by nature should survive (including fees owed, IP, disclaimers, limitations, and indemnity) will survive.

15. Changes to the Terms

We may update these Terms by posting a revised version on this page. Continued use after the effective date constitutes acceptance of the updated Terms, except where additional consent is required by law.

16. Governing law

These Terms are governed by the laws of the State of California, USA, excluding conflict-of-law rules, unless a mandatory local law requires otherwise for your jurisdiction. Courts located in California will have exclusive jurisdiction, except where prohibited.
